On April 27, 2009, Primus Financial purchased $22.7 million principal amount ofits $125 million subordinated deferrable interest notes due 2021 in a privatelynegotiated transaction. Primus Financial purchased such notes for $5.7 millionin cash. The transaction is expected to result in a net realized gain onretirement of long-tem debt of approximately $16.7 million in the second quarterof 2009.
